- Registration and Account Information:
1.1. To become a vendor or affiliate on Valpulse, individuals must provide accurate and complete information during the registration process.
1.2. Vendors and affiliates are responsible for maintaining the confidentiality of their account information and ensuring that their login credentials are secure.
- Product Upload and Promotion:
2.1. Vendors are required to upload products that meet our quality and content guidelines. Valpulse reserves the right to reject products that do not comply with our standards.
2.2. Affiliates must promote products ethically and refrain from engaging in spamming or misleading marketing practices.
2.3. Vendors and affiliates are responsible for ensuring that the product information, including pricing and commission rates, is accurate and up to date.
- Commissions and Payments:
3.1. Vendors agree to pay a registration fee of 10,000 Naira to access the platform and upload products.
3.2. Valpulse deducts a 10% transaction fee from each sale made through the platform. Vendors will receive their commissions after deducting this fee.
3.3. Affiliates earn commissions on each sale they generate based on the agreed percentage with the vendor.
3.4. Payments to vendors and affiliates are processed promptly and securely by Valpulse.
- Intellectual Property Rights:
4.1. Vendors retain ownership of their intellectual property rights for the products they upload on Valpulse.
4.2. Affiliates must respect the intellectual property rights of vendors and refrain from unauthorized use of product materials.
- Refunds and Disputes:
5.1. Refund requests from customers will be handled in accordance with our refund policy, and vendors are responsible for addressing customer concerns promptly.
5.2. In case of disputes between vendors and affiliates, Valpulse reserves the right to mediate and resolve the issue in a fair and impartial manner.
- Termination and Suspension:
6.1. Valpulse reserves the right to suspend or terminate the account of any vendor or affiliate found to be in violation of the terms and conditions.
6.2. Vendors or affiliates may request account termination, and Valpulse will process the request accordingly.
- Liability and Indemnification:
7.1. Valpulse is not liable for any losses or damages incurred by vendors or affiliates as a result of using the platform.
7.2. Vendors and affiliates agree to indemnify and hold Valpulse harmless from any claims or liabilities arising from their use of the platform.
- Communication and Updates:
8.1. Valpulse may communicate with vendors and affiliates through email or notifications on the platform regarding updates, promotions, or policy changes.
8.2. Vendors and affiliates are encouraged to keep abreast of any changes to the terms and conditions by regularly reviewing the updates on the Valpulse platform.
- Governing Law and Jurisdiction:
9.1. These terms and conditions are governed by the laws of Nigeria, and any disputes arising from them will be subject to the jurisdiction of the courts in Nigeria.
